SWEEPSTAKES ENTRY PERIOD: The Sick Puppies Sweepstakes (“Sweepstakes”) begins at 9:00 a.m. Eastern Time (“ET”) on July 12, 2010 and ends at 11:59 p.m. (ET) on August 12, 2010.

ELIGIBILITY: Sweepstakes open to legal residents of the 48 contiguous United States or the District of Columbia who are age 13 or older at time of entry. Void in Alaska, Hawaii, Puerto Rico, all U.S. territories and possession and where prohibited by law. Employees, immediate family members, and persons living in the same household of EMI/Capitol Music Group (“Sponsor”), Sick Puppies and Sick Puppies World Crew, Total Assault LLC, their respective parent companies, divisions, subsidiaries, retailers, artists, affiliates, advertising and promotion agencies and any other persons involved with this Sweepstakes are not eligible to enter or win. All federal, state, and local laws and regulations apply. In the event that this Sweepstakes is challenged by any legal or regulatory authority, Sponsor reserves the right to discontinue or modify the Sweepstakes or to disqualify entrants residing in the affected geographic areas. In such event, Sponsor shall have no liability to any entrants who are disqualified due to such an action. This Sweepstakes shall be governed by and construed in accordance with New York law, and the venue for all controversies will be exclusively in state or federal court in New York, New York.

All entries must be received no earlier than 9:00 a.m. ET on July 12, 2010 and no later than 11:59 PM ET on August 12, 2010. Online entrants are subject to all notices posted online including but not limited to Sponsor’s privacy policy. Limit: Only one (1) entry per person and per email address will be accepted. Duplicate entries will be disregarded. No responsibility is assumed for entries that are illegible, incomplete, lost, late, misdirected, or damaged. Mechanically produced or computer generated entries are void. All entries become property of EMI/Capitol Music Group (“Sponsor”) and will not be returned or acknowledged.

WINNER SELECTION: One (1) Grand Prize Winner will be selected in a random drawing from all eligible entries received, on or about August 16, 2010. Random drawing will be conducted by Ventura Associates, Inc., an independent judging organization whose decisions are final and binding. Odds of winning are determined by the number of eligible entries received during the Sweepstakes Entry Period.

PRIZE AND APPROXIMATE RETAIL VALUE (“ARV”): One (1) Grand Prize: Winner will receive a 3-day/2-night’s trip for winner and one (1) eligible guest to Los Angeles for the opportunity for winner and guest to participate in a video shoot (“Event”) (ARV: $2,100.00). Actual value of trip depends on winner’s location and airfare rates at time of departure. If actual value is less than stated ARV, the difference will not be awarded in cash. Prize consists of: round-trip coach airfare for Grand Prize Winner and his/her guest to/from a major commercial airport nearest to winner’s primary residence (or ground transportation if winner resides within 150 miles radius of Los Angeles, to be determined by Sponsor), two nights-double occupancy hotel accommodations at a hotel selected by Sponsor, ground transportation from/to hotel and video shoot. All meals, ground transportation (other than as noted), taxes, gratuities, incidentals, service charges, upgrades, or other expenses not specified herein are not included and are the winner’s sole responsibility. No substitution, transfer, assignment or cash equivalent of prize permitted, except that Sponsor may substitute prize or portion thereof with a prize of equal or greater value.

Winner and his/her guest must travel on dates specified by Sponsor (tentatively scheduled for travel between: August 23, 2010 – September 1, 2010, but subject to change) or forfeit all rights to the trip. All prize details are at Sponsor‘s sole discretion. Winner and his/her guest must travel together on the same itinerary including same departure and return dates. Winner and must comply with any security procedure or measures imposed by the Sponsor, and/or Event coordinator(s) and/or representatives who reserve the right in their sole discretion to suspend or cancel winner’s participation and/or the participation of his/her guest due to non-compliance with any security procedure or inappropriate behavior or misconduct. If the video shoot is postponed, canceled, or has occurred, no compensation or substitution will be provided and the Sponsor shall have no further obligation to the winner other than to supply a trip to Los Angeles minus the unused portion of the prize. Should this be the case, trip must be taken within 12 months from the date of prize notification. If for any reason whatsoever, winner is unable to travel after all arrangements have been made and paid, the Sponsor shall have no further obligation to such winner. If a winner cannot be cleared in time to attend video shoot, the alternate winner will receive a trip to Los Angeles minus all elements related to video shoot. Winner and guest are responsible for obtaining the proper travel documentation (e.g., valid photo ID) prior to travel. Guest must meet all eligibility requirements of this Sweepstakes, and must also execute and return a Travel Release of Liability and a Publicity Release prior to travel.

NOTIFICATION/TERMS: Potential winner will be notified by mail, email and/or phone and will be required to complete and return an Affidavit of Eligibility and Liability and a Publicity Release within five (5) days of date specified on notification, or an alternate winner will be selected. If potential winner cannot be contacted via email within 48 hours, or if an Affidavit/Release is returned as undeliverable or if a selected winner cannot accept or receive the prize for any reason, or he/she is not in compliance with these Official Rules, the prize will be forfeited and it may be awarded to an alternate winner. If a winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence, the prize will be awarded in the name of winner’s parent or legal guardian who will be required to execute and return Affidavit/Release on minor’s behalf and must accompany minor on trip. Prize will be awarded within 7 days after winner verification and receipt of completed Affidavit/Release. Winner will be solely responsible for payment of all taxes on prize (including but not limited to federal, state, income and sales tax). Except where prohibited by law, entry and acceptance of prize constitutes permission to use winner’s name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting on Sponsor’s web site of choice) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

GENERAL: In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the “Authorized Account Holder” of the e-mail address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. Sponsor is not responsible for: (i) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by the Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (ii) any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, entrant (i) agrees to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the judges, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. The Sponsor reserves the right to: (i) permanently disqualify from the Sweepstakes, any person they believe has intentionally violated these Official Rules; and (ii) withdraw the online method of entry if it becomes technically corrupted, (including if a computer virus or system malfunction inalterably impairs its ability to conduct the sweepstakes), and to select winner from among all eligible entries received prior to such withdrawal. RELEASE OF LIABILITY: By participating in this Sweepstakes, all entrants including the Grand Prize Winner hereby release the Sponsor, Sick Puppies and Sick Puppies World Crew, Total Assault LLC, their respective parent companies, affiliates, subsidiaries, retailers, artists, officers, directors, agents, employees and all others associated with the development and execution of this Sweepstakes from any and all liability with respect to, or in any way arising from, this Sweepstakes and/or award, acceptance or use of the prize, including liability for personal injury, death, damages, or monetary loss, and including the risks of travel and of attendance at public events. Sponsor is not responsible if Sweepstakes cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. ARBITRATION AND CHOICE OF LAW: Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Entrant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction.
